Acceptance of Terms

By accessing or using the Simplifi EDU services (the “Service”), you agree to these Terms of Service (“Terms”). If you are using the Service on behalf of a school, parent/guardian, or student, you confirm you are authorized to do so. If you do not agree, you must not use the Service.

Who Uses the Service

Simplifi EDU serves students, parents/guardians, tutors, and partner schools. These Terms apply to all individuals or entities (“User,” “you”) who use or access our Service.

Services Description

We provide:

• Online academic subject tutoring for students from 6th grade through college
• Test-prep services for standardized exams (SAT, ACT, HSPT, SSAT, ISEE, GED, GRE, AP Exams, and others)
• Diagnostic assessments, progress reporting, and educational guidance
• Communications and scheduling tools to coordinate services

We may add, change, or remove features at our discretion.

User Obligations & Acceptable Use

You agree to:

• Provide accurate, current information when registering.
• Keep your login credentials secure and notify us of any unauthorized use.
• Use the Service only for authorized educational purposes.
• Not engage in prohibited behaviors (fraud, harassment, misuse, hacking, or unauthorized access).
• Respect intellectual property rights.

Violations may result in suspension or termination of your access.

Privacy and Data Protection

Student Data & Privacy Laws

Because our Service is used in educational contexts, we may handle educational records and personally identifiable information (“PII”). Federal laws such as FERPA and COPPA (where applicable), and relevant state privacy laws, may apply. We commit to protecting student privacy and complying with applicable legal obligations.

Definition of Data

“Data” includes PII about students, metadata about Service usage, user content, and other information provided by Users.

Use of Data

We collect and use Data only as needed to provide and improve the Service and to comply with legal obligations. We do not use student Data for targeted advertising unless explicitly permitted under a separate agreement.

Data Sharing & Subcontractors

We do not share Data with third parties except as described in our Privacy Policy or as required by law. Subcontractors we use are contractually bound to equal data-protection obligations.

Data Retention, Deletion, Access

Data is retained only as long as necessary. Upon request or termination, Data may be returned or deleted as allowed under law.

Security

We implement reasonable administrative, technical, and physical safeguards to protect Data. Users are responsible for securing their own access credentials and local devices.

SMS & MMS Communications (10DLC-Compliant)

By providing your mobile phone number to Simplifi EDU, you consent to receive SMS and/or MMS (text and multimedia) messages from us. These may include scheduling reminders, tutoring updates, account notifications, billing alerts, or—if you separately opt in—promotional or marketing communications. Message frequency may vary.

Message & Data Rates

Message and data rates may apply depending on your mobile carrier plan.

Opt-In Consent

By submitting a form, creating an account, requesting services, texting a keyword, or otherwise providing your phone number, you give express consent to receive SMS/MMS communications. Marketing messages require a separate opt-in.

Opt-Out Instructions

Reply STOP to any message to opt out. You may receive a final confirmation text.

Data Usage & Privacy

We collect and retain your phone number and SMS/MMS interaction data only for Service-related purposes. We do not sell your phone number.

Messages may be delivered through approved third-party 10DLC-compliant providers who are bound to protect your data.

Carriers Not Liable

Mobile carriers are not liable for delayed or undelivered messages.

Eligibility

Messaging services are intended for individuals aged 13 or older.

Your Responsibilities

You certify that the mobile number you provide is your own and that you have the authority to grant consent. You agree to notify us if the number is changed or reassigned.

Payment & Refunds

Our services are billed hourly based on the agreed-upon rate, typically between $100–$180 per hour. Billing occurs weekly for services delivered Saturday through Friday. Invoices are emailed each Monday, and the credit card on file will be charged for the billed amount.

Refunds are issued solely at the discretion of Simplifi EDU and are not guaranteed.

Intellectual Property

All content, materials, and software provided through the Service (collectively, the “Platform”) are owned by Simplifi EDU or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Platform for personal educational purposes only. Unauthorized copying, distribution, modification, or derivative works are prohibited.

Termination & Suspension

We may suspend or terminate your access if you violate these Terms or as required by law. Upon termination, your right to use the Service ends, though your obligations regarding Data, intellectual property, and indemnification remain in effect.

Disclaimer of Warranties & Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind. We disclaim all express or implied warranties, including merchantability or fitness for a particular purpose.

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, or consequential damages.
• Our total liability shall not exceed the amount you paid in the preceding 12 months (or one month, if unpaid), unless a greater amount is required by law.
  

Indemnification

You agree to indemnify, defend, and hold harmless Simplifi EDU, its officers, directors, employees, and affiliates against any claims, losses, damages, liabilities, or expenses (including attorney’s fees) arising out of your use or misuse of the Service, violation of these Terms, or violation of any law or rights of a third party.

Changes to Terms

We may update these Terms from time to time. Material updates will be communicated via email or in-platform notification. Continued use of the Service after updates constitutes acceptance of the revised Terms.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California. Any dispute shall be resolved via binding arbitration in Los Angeles County, California, unless prohibited by law.

Miscellaneous

If any provision is found unenforceable, the remaining provisions remain in full force.

Failure to enforce any provision is not a waiver of rights.

You may not assign these Terms without our consent. We may assign these Terms to affiliates or successors.
