2. Acceptance of Terms
By accessing or using the Simplifi EDU services (the “Service”), you agree to these Terms of Service (“Terms”). If you are using the Service on behalf of a school, parent/guardian, or student, you confirm you are authorized to do so. If you do not agree, you must not use the Service.
3. Who uses the Service
Simplifi EDU serves students, parents/guardians, tutors, and partner schools. These Terms apply to anyone (“User”, “you”) who uses or accesses our Service.
4. Services Description
We provide: Online academic subject tutoring for students from 6th grade to college and test prep services for standardized tests such as the SAT, ACT, HSPT, SSAT, ISEE, GED, GRE, AP Subject Exams, and the like. Diagnostic assessments, reporting, educational support. Communications and scheduling tools. We may add, change, or remove features at our discretion.
5. User obligations & acceptable use
You agree to:Provide accurate, current information when registering.Keep your login credentials secure and notify us of any unauthorized use. Use the Service only for authorized educational purposes.Not engage in prohibited behaviors (fraud, harassment, misuse, intrusion). Respect intellectual property rights. Violation may result in suspension or termination of our services to you the User.
6. Privacy and Data Protection
a) Student Data & Privacy Laws
Because our Service is used in educational contexts, you understand we may handle educational records and personally identifiable information (“PII”). Federal laws such as FERPA, COPPA (where applicable), and state laws apply.We commit to protecting student privacy and fulfilling applicable obligations regarding use, disclosure, access, and security of student data.
b) Definition of Data
“Data” includes personally identifiable information (PII) about students, metadata about their usage of the Service, user content, and other user-provided information.
c) Use of Data
We will collect and use Data only to the extent necessary to provide the Service, improve the Service, and comply with our legal obligations. We will not use Data for targeted advertising to students (or households) unless explicitly permitted under a separate agreement.
d) Data Sharing & Sub-contractors
We will not share Data with third parties except as described in our Privacy Policy or as required by law. If we engage subcontractors, they will be bound to the same data-protection obligations.
e) Data Retention, Deletion, Access
We will retain Data only as long as necessary, and upon request or upon termination of service we will allow return or deletion of Data by the client (school/parent) in a secure manner.
f) Security
We implement reasonable administrative, technical, and physical safeguards to protect Data. You must also take responsibility for your access credentials and environment.
7. Payment & Refunds
Our paid services are billed hourly based on the agreed-upon tutoring rate with the client, generally ranging from US $100-180 per hour. Billing occurs weekly, covering the period from Saturday through Friday of each week. We issue emailed invoices each Monday for the previous week’s billed services. Clients are required to maintain a valid credit card on file, which will be charged to cover the cost of that week’s invoice. Refunds may be offered only at the discretion of Simplifi EDU and are not guaranteed.
8. Intellectual Property
All content and software made available by Simplifi EDU (the “Platform”) are owned by us or our licensors and are protected by copyright, trademark, trade-secret or other laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your own educational use under these Terms. You may not copy, modify, distribute or create derivative works without our prior written permission.
9. Termination & Suspension
We may suspend or terminate your access if you violate these Terms, or if required by law. Upon termination, your right to use the Service ends, but provisions such as Intellectual Property, Limitation of Liability, and Data obligations survive.
10. Disclaimer of Warranties & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.IN NO EVENT SHALL SIMPLIFI EDU BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE. Our total liability shall be limited to the amount paid by you in the preceding 12 months (or one month, if you did not pay) or such greater amount as required by law.
11. Indemnification
You agree to defend, indemnify and hold harmless Simplifi EDU, our affiliates, officers, directors and employees from any claim, liability, damage, loss or expense (including reasonable attorneys’ fees) arising out of your misuse of the Service or any violation of these Terms.
12. Changes to Terms
We may update these Terms from time to time (for example, to reflect changes in law, technology, or our business). We will provide notice of material changes (via email or in-platform notification) and, where required by law, obtain consent. Your continued use of the Service after the effective date of changes constitutes your acceptance of the changes.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California without regard to its conflict of law provisions. Any dispute shall be resolved via binding arbitration in Los Angeles County, California, rather than in courts (unless required otherwise by law).
14. Miscellaneous
If any provision is found invalid or unenforceable, the remaining provisions will remain in full force.These Terms and any separate agreement referenced herein constitute the entire agreement between you and Simplifi EDU regarding the Service.Waiver of any right will not be construed as continuing waiver.You may not assign or transfer your rights or obligations without our prior written consent; we may assign to an affiliate or successor entity.
